- The Shell Setup: Daily News Pty Ltd was intentionally left as an under-capitalized operating shell company. It owned the immediate daily printing liabilities, the staff contracts, the millions in unpaid printing debts, and the controversial "ghost" payroll networks.
- The Stranded Masthead: The highly valuable, non-tangible intellectual property—specifically the registered business name and copyright masthead for the Weekend News—was quietly held by a completely separate corporate entity controlled directly by the WAN hierarchy.
- Buying an Empty Shell: Had the liquidator accepted Carew-Reid's million-dollar deposit, the transaction would have only transferred ownership of the insolvent Daily News Pty Ltd shell.
- No Weekend Rights: Because Daily News Pty Ltd did not legally own the Weekend News brand, Carew-Reid would have had no lawful right to print, publish, or monetize the weekend edition.
- Guaranteed Commercial Failure: Without the weekend edition—which carried the critical Friday afternoon advertising revenue and sports replays—a daily-only afternoon paper was financially unviable. WAN retained the legal right to block anyone from using the Weekend News name, ensuring that any outside buyer would inherit a dying, asset-starved entity.
- Choking Legal Discovery: They ensured that an independent investigator like Carew-Reid could never use the Daily News acquisition to gain legal discovery over the Weekend News financial books. This kept the structural manipulation of the "Rivers of Gold" advertising revenue permanently hidden.
- Forced Liquidation: It allowed Ross Norgard to argue that the company under administration was an incomplete asset that could not be sold as a going concern, providing the perfect legal pretext to reject Carew-Reid’s deposit, shut down the presses on 11 September 1990, and secure WAN’s absolute press monopoly in Western Australia.
